1. Acceptance of Service Terms
Welcome to the Yahoo! Koprol service (“Service”), owned and operated by Yahoo! Southeast Asia Pte. Ltd. (Co. Reg. No. 199700735D) (“Yahoo! SEA”). Your use of the Service is subject to these Yahoo! Koprol Additional Terms of Service (“Additional Terms”), which supplement the Yahoo! Terms of Service ("TOS") found at http://info.yahoo.com/legal/id/yahoo/utos/details.html which are hereby incorporated by reference. Yahoo! reserves the right to update and change, from time to time, these Additional Terms and all documents incorporated by reference and you hereby unconditionally agree and accept such right of update and/or change in such manner by Yahoo!. Your continued use of the Service after such update and/or change will constitute your acceptance of and agreement to be bound by the updated Additional Terms and/or documents. You can find the most recent version of these Additional Terms at http://info.yahoo.com/legal/ide/yahoo/atos/koprolatos.html and the Yahoo! Terms of Service at the URL listed above. You agree that you will be ratifying the Additional Terms at every Submission (see definition in Item 2 below) of Content You make. In the event of any inconsistency between these Additional Terms and the TOS, these Additional Terms shall control.
2. Service Description
This Service allows a user with a valid account set up with Koprol (“You” or “you”) to post, upload or link (i.e. send a specific URL for publication within the Service) content, which may include information, text, images, audio and/or video (collectively referred to as “Content”). For the purpose of these Additional Terms, “Submit” (and all other variations of such word that are properly capitalized) shall mean to post, upload or link Content. For the Content to be publicly posted, seen and shared with third parties, Yahoo! SEA may, at its absolute discretion, by itself of through an affiliate (i) redirect the Content through a link or any other means to the original place where such Content is hosted; (ii) host such Content; (iii) index such Content using the search tools available to them; and/or (iv) make such Content available for transmission, communication, public performance and/or display on any property within the network(s) of Yahoo! SEA and/or its affiliates, or at third-party sites (including through APIs, RSS Feeds, or any other means). Further, the Submitted Content may be commented upon, seen and/or shared by other users of the Service. You, and not Yahoo! SEA or its affiliates, are entirely responsible for your Submitted Content via the Service. You expressly acknowledge and agree that the Service is a public service, that once the Content is Submitted, it will be accessible by all users of the Service, and that there is no confidentiality or privacy in relation to such Content. This will also apply to any personally identifiable information that You may Submit as part of the Content. If the Service should, at some point, provide You with the option of limiting the sharing of Content that You Submit (whether in whole or in part) with other users of the Service, Yahoo! SEA will comply with the limitations set by you. Currently, there is no cost to You for Submission of Content using the Service. However, Yahoo! SEA may at its discretion charge for the use of any part or the whole of the Service in the future.
3. Prohibited Content and Conducts
By Submitting Content, You acknowledge and agree: a. that You shall not upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party. You undertake not to Submit any Content that is owned by a third party, without the express authorization of such third party for the use, distribution, disclosure, and/or transmission of such Content in the manner contemplated in these Additional Terms. Such restriction includes but is not limited to Content that is available on the Internet, which is owned by third parties and/or which either (i) is not available in publicly accessible areas; (ii) has had access to it limited and/or restricted for any reason whatsoever; or (iii) has had its owner or licensee forbid the use, distribution, disclosure and/or transmission of such Content, notwithstanding that such Content is or may be available at publicly accessible areas on the Internet; b. that You have the written consent, release and/or permission of each and every identifiable individual person in the Content to use such person's name, likeness or other personal characteristics for use in relation to the Service or in the manner contemplated in these Additional Terms; c. not to Submit any Content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, seditious, inappropriate, vulgar, pornographic, offensive, indecent, false, menacing, invasive of another’s privacy, offensive in character with intent to annoy, abuse, threaten or harass any person or entity, hateful, prejudicial, or racially, ethnically, religiously or otherwise objectionable or in contravention of your jurisdiction’s laws; and d. that You are entirely responsible for all the Content You Submit via the Service and agree to hold Yahoo! SEA and its affiliates harmless from and against any liability in this regard as well as in your use of the Service.
4. Submission of Content to the Service
By using the Service and every time You submit Content to it, You authorize Yahoo! SEA and its affiliates to publish, communicate, distribute, disclose and/or transmit the Submitted Content via the Service at no cost, and You also grant a worldwide, royalty-free, transferable and non-exclusive license to Yahoo! SEA and its affiliates: a. to host, store, cache, transmit, redirect, archive, index, crawl and/or create algorithms based on Content, as well as modify or decode it to appropriate media formats, standards or mediums as part of the Service; b. to use, disclose, distribute, replicate, repost, run, publish, reproduce, modify, remix, excerpt, publicly perform, publicly display, adapt, and/or prepare derivative works, make compilations and/or change the format of the Content, either for public Submission or for display on the Service or on any other property of Yahoo! SEA or its affiliates and/or at third-party sites, in any distribution or running medium and through any channels and for any other editorial purposes at the discretion of Yahoo! SEA; and c. to use the Content for and in connection with publicity, advertising, marketing actions, promotions or commercial purposes, including without limitation, the right to publicly display, perform, submit, reproduce and distribute the Content in any format or medium and through any media channels. You acknowledge and agree that You will not Submit any Content to which You have no rights, license or authorization at least equal to those required under these Additional Terms. You are further responsible for compliance with all legal and contractual requirements with regard to the Content that You Submit via the Service. You also acknowledge and agree notwithstanding anything to the contrary in these Additional Terms, there are no obligations, whether express, implied or otherwise, for Yahoo! SEA or its affiliates to post, host, transmit or otherwise include any part of the Content in any property or channel belonging to Yahoo! SEA or its affiliates.
5. Credit for the Origin of Content Submitted
Yahoo! SEA will automatically credit You for the Content Submitted by You in such manner as Yahoo! SEA deems fit. Yahoo! SEA shall have sole and absolute discretion whether to disclose such credit in relation to Content Submitted by You, including but not limited to, situations where such disclosure would not be appropriate to the manner, mode or type of disclosure, transmission, display, publication and/or running of such Submitted Content. If or when You exclude your Submitted Content from the Service, you agree that such an act will mean You have waived your right to have credit attributed to You for such Submitted Content. You acknowledge, agree and undertake that Yahoo! SEA will not and is not required to credit or make any other attribution in favour of any other person in respect of the Content Submitted by You.
6. Ownership of Submitted Content
Yahoo! SEA and its affiliates do not claim ownership of Submitted Content via the Service. However, with respect to Submitted Content via the Service, Yahoo! SEA and its affiliates will have the rights and licences granted to them under the TOS and these Additional Terms.
7. Disclaimer
You understand that all Submitted Content are the sole responsibility of the person from whom such Content originated. This means that you, and not Yahoo!, are entirely responsible for all Content that you Submit via the Service. Yahoo! does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. In this regard, you acknowledge that you may not rely on any Content created by Yahoo! SEA or Submitted to Yahoo! SEA via the Service. Under no circumstances will Yahoo! SEA or its licensors, suppliers, vendors, parent, holding, subsidiary or related companies, affiliates, officers, agents or employees, as the case may be, be liable in any way for any Content, including, but not limited to, any exposure to offensive, indecent or objectionable Content, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.
8. Irrevocable nature of the Authorization granted by You
You agree that Yahoo! SEA and its affiliates shall remain authorized to use, distribute, communicate, reproduce, modify, publish, broadcast, adapt, publicly perform and publicly display Content Submitted by You even if you delete such Content, cease to use the Service, have your account suspended or deactivated or for any other reason. In this regard, these Additional Terms will continue to remain binding on such Submitted Content.
9. Advertising Rights
Yahoo! SEA reserves and has the right to sell, license and/or display any advertising, attribution, links, promotional and/or distribution rights in connection with the Service, and Yahoo! SEA will be entitled to retain any and all revenue generated from any sales or licenses of such advertising, attribution, links, or promotional or distribution rights for its sole benefit. Nothing in these Additional Terms obligates or may be deemed to obligate Yahoo! SEA to sell, license or offer to sell or license any advertising, promotion or distribution rights.
10. Indemnity
You agree to indemnify and hold Yahoo! SEA and its parent, holding, subsidiary, affiliated and related companies, officers, agents, employees, partners, suppliers, vendors, co-branders and licensors harmless from and against any claim, demand, damages, loss, cost and expense, including reasonable attorneys' fees, made by any third party or incurred directly or indirectly arising out of or in connection with Submitted Content via the Service, your use of the Service, your connection to the Service, your violation of the TOS or Additional Terms, or your violation of any rights of another person or your breach of any applicable law or regulation.
11. Reservation of Rights
The Service and its benefits are offered at the discretion of Yahoo! SEA, and Yahoo! SEA has the right to modify or discontinue, temporarily or permanently, the Service, in whole or in part for any reason, at its sole discretion, with or without notice to You. You agree that Yahoo! SEA will not be liable to You or any third-party for any modification or discontinuance of any part or all of the Service. You acknowledge that Yahoo! SEA shall have the right (but not the obligation) in its sole discretion to pre-screen, refuse, move, remove or restrict access to any Content that is available via the Service. Without limiting the foregoing, Yahoo! SEA shall have the right to remove or restrict access to any Content (whether or not provided by You) that it believes in good faith violates these Additional Terms or the TOS or that has been alleged to infringe any intellectual property or to be unlawful or that is otherwise objectionable in its sole opinion, without being liable to You in any way for any loss or damage arising from such removal. You also acknowledge that Yahoo! SEA and/or its affiliates, with or without notice to You, may suspend or cancel your account or refuse to grant You access to any current or future service, if Yahoo! SEA and/or its affiliates, at its sole discretion, believes You have: (i) violated or attempted to violate the rights of Yahoo! SEA or of any third parties; or (ii) violated, attempted to violate or acted inconsistently with these Additional Terms, TOS or any other applicable rules or laws.
12. Invalidity of specific terms
If any provision of these Additional Terms is found invalid or unenforceable by a court or other decision making authority of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the other provisions of this Agreement will remain in force.
13. Entire Agreement
These Additional Terms including any documents incorporated hereinto by reference constitute the entire agreement between you and Yahoo! regarding your use of the Service, superseding any prior agreements between you and Yahoo! with respect to the Service. If after you agree to these Additional Terms, you agree to other terms of service with Yahoo! SEA or its affiliate, and those terms of service do not specifically and explicitly identify (by name) these Additional Terms and the Service as being superseded, these Additional Terms will continue to govern your use of the Service.
14. Jurisdiction
These Additional Terms and the relationship between You and Yahoo! SEA with respect to the Service shall be governed by the laws of Singapore without regard to its conflicts of law provisions. You and Yahoo! SEA agree to submit to the personal and non-exclusive jurisdiction of the courts of Singapore.
