AGREEMENT TO TERMS
Yahoo! Auctions (Singapore), owned and operated by Yahoo! Singapore Pte. Ltd. (Co. Reg No. 199700735D) and/or its affiliates (collectively "Yahoo"), is a service through which you may list or bid on items. Your participation in Yahoo! Auctions (Singapore) is subject to these additional terms which supplement the Yahoo! Terms of Service incorporated by reference. By participating in or using Yahoo! Auctions (Singapore), you agree to observe and be bound by these additional terms together with the said Terms of Service.
In addition, by participating in Yahoo! Auctions (Singapore), you agree to comply with any posted guidelines and rules applicable to Yahoo! Auctions (Singapore), including, without limitation, the Yahoo! Auctions Guidelines. All such guidelines and rules are incorporated by reference. Please note: the Yahoo! Auctions Guidelines includes a description of those items that may not be listed or sold through Yahoo! Auctions (Singapore).
Unless otherwise expressly provided, Yahoo reserves the right to update and change, from time to time, these additional terms and all documents incorporated by reference. You can always find the most recent version of these additional terms at http://info.yahoo.com/legal/sg/yahoo/utos/atos.html and the most recent versions of the Yahoo! Terms of Service and the Yahoo! Auctions Guidelines at the URLs indicated above.
PAYMENT TERMS
Currently, bidding and listing of items on Yahoo! Auctions (Singapore) is free. However, this is subject to change, and Yahoo! reserves the right to commence charging fees for any part of the Yahoo! Auctions (Singapore) service as it may in its sole discretion, decide.
YAHOO! ID
To participate in Yahoo! Auctions (Singapore) you must have a Yahoo! ID. If you do not yet have a Yahoo! you will be prompted to complete the registration process.
DISCLAIMER, YOUR RELEASE AND WAIVER AND INDEMNITY
You understand and agree that Yahoo! acts as the venue for sellers to list items and buyers to bid on items in connection with Yahoo! Auctions (Singapore). Yahoo! is not involved in the actual transaction between buyers and sellers. Currently, Yahoo! does not screen or control users who may sell or bid on auction items, nor does Yahoo! review or authenticate all auction listings or items offered for sale. Accordingly, Yahoo! encourages you to exercise discretion while browsing and using Yahoo! Auctions (Singapore) and you should beware of other users who have negative ratings against them. Yahoo! does not represent or warrant nor is Yahoo! responsible or liable for the accuracy or reliability of any rating system employed or the rating of any user on Yahoo! Auctions (Singapore).
Because Yahoo! is not involved in the actual transaction between buyers and sellers, in the event that you have a dispute with one or more users, you release Yahoo! and its affiliates (and their respective officers, directors, agents and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
Yahoo! does not represent or endorse the accuracy or reliability nor is Yahoo! responsible or liable for the accuracy, copyright compliance, legality or decency of any of the material, information, content or advertisements (collectively, the "Materials") contained on, distributed through, or linked, downloaded or accessed from any of the services contained on Yahoo! Auctions (Singapore) (the "Service"), nor the quality of any products, information or other materials displayed, purchased, or obtained by you as a result of an advertisement or any other information or offer in or in connection with Yahoo! Auctions (Singapore) (the "Products"). You hereby acknowledge that any reliance upon any Materials shall be at your sole risk. Yahoo! reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in any portion of the Service or the Materials. THE SERVICE AND THE MATERIALS ARE PROVIDED BY YAHOO! ON AN "AS IS" BASIS, AND YAHOO! EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE (OTHER THAN ANY WARRANTY THE EXCLUSION OF WHICH IS NOT LAWFUL), WITH RESPECT TO THE SERVICE OR ANY MATERIALS AND PRODUCTS. IN NO EVENT SHALL YAHOO! BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER WITH RESPECT TO THE SERVICE, THE MATERIALS AND THE PRODUCTS.
Also, as Yahoo! is acting only as a venue, Yahoo! is not responsible for the collection and remittance of any taxes. Buyers and sellers are responsible for all tax related issues that may arise.
You also agree to indemnify and keep Yahoo! harmless in respect of all losses, damages, costs and expenses which Yahoo! may suffer or incur as a result of, arising from or in connection with any of your acts or omissions or any item which you may have listed on Yahoo! Auctions (Singapore).
LEGAL COMPLIANCE
You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of Yahoo! Auctions (Singapore) and your bidding on, listing of, purchase of, and sale of any and all items.
YAHOO'S RESERVATION OF RIGHTS
Yahoo expressly reserves the right to, but has no duty to, refuse, reject or remove any listing in Yahoo's sole discretion.
You acknowledge and agree that Yahoo! has the right to immediately modify, suspend or terminate any listings or your Yahoo! account and refuse current or future use of any Yahoo! service, including but not limited to Yahoo! Mail, if Yahoo!, in its sole discretion, believes you have: (i) violated or tried to violate the rights of others; or (ii) have acted inconsistently with the spirit or letter of these additional terms or any document incorporated by reference, including, without limitation, the Yahoo! Auctions Guidelines; or (iii) if your ratings on Yahoo! Auctions drops below a certain acceptable level as determined by Yahoo! in its sole discretion from time to time. Your Yahoo! Auctions account may be terminated if you do not use this service at least one time during a reasonable period of time (as determined by Yahoo!) which will not be less than three months.
INVALIDITY OF SPECIFIC TERMS
If any provision of these additional terms or any document incorporated by reference is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the such documents remain in full force and effect.
GOVERNING LAW AND JURISDICTION
These additional terms and the relationship between you and Yahoo! shall be governed by the laws of Singapore without regard to its conflict of law provisions You also agree to submit to the non-exclusive jurisdiction of the courts of Singapore.
